The "p's and "q's"
You, customer name, are hiring us OpusDeorum.us located at [Denver, Colorado ] to design and develop a website for the estimated total price, as outlined in our previous correspondence. Of course it’s a little more complicated but we’ll get to that.
As our customer, you have the power and ability to enter into this contract on behalf of your company or organization. You agree to provide us with everything that we need to complete the project including text, images and other information as and when we need it, and in the format that we ask for. You agree to review our work, provide feedback and sign-off approval in a timely manner too. Deadlines work two ways and you will also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this contract.
We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavor to meet all the deadlines set but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we will also maintain the confidentiality of any information that you give us. If you are requesting E-Commerce for your website you agree to provide login and password to a PayPal business account that you want your sales & revenue deposited.
We will create designs for the look-and-feel, layout and functionality of your web site. This contract includes one main design, provided to client as a prototype with the quote and proposal, plus the opportunity for you to make up to two rounds of revisions. If you’re not happy with the designs at this stage, you will pay us in full for all of the work that we have produced until that point and you may either cancel this contract or continue to commission us to make further design revisions at the standard billable rate set out in our original estimate.
We know from plenty of experience that for many businesses starting out they may only need a static website. As your company grows, so does your website. We don’t want to limit either your options or your opportunities to change your mind. You may later revise or upgrade your hosting package to a different style or design, which will override your current contract. If you upgrade your site before 10 years of renewals you must buy out your contract at 50% of remaining renewals.
The estimate/quotation prices at the beginning of this document are based on the number of days that we estimate we’ll need to accomplish everything that you have told us you want to achieve. If you do want to change your mind, add extra pages or templates or even add new functionality, that won’t be a problem. You will be charged the hourly rate set out in the estimate we gave you. Along the way we might ask you to put requests in writing so we can keep track of changes.
If the project includes XHTML or HTML markup and CSS templates, we will develop these using valid XHTML 1.0 Strict markup and CSS2.1 + 3 for styling. We will test all our markup and CSS in current versions of all major browsers including those made by Apple, Microsoft, Mozilla and Opera. We will also test to ensure that pages will display visually in a ‘similar’, albeit not necessarily identical way, in Microsoft Internet Explorer 7 for Windows as this browser is now past its sell-by date.
We will not test these templates in old or abandoned browsers. As the majority of users browse with Google Chrome, Mozilla, Opera and Safari we will program and test in these browsers.
You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the website are either owned by your company, or that you have permission to use them. When we receive your final payment, copyright is automatically assigned as follows:
You own the graphics and other visual elements that we create for you for this project. We will give you a copy of all files and you should store them really safely as we are not required to keep them or provide any native source files that we used in making them. You also own text content, photographs and other data you provided, unless someone else owns them. We own the XHTML markup, CSS and other code and we license it to you for use on only this project.
All of our photography used for mock up or prototypes are stock photos that are licensed. If a customer does not have copyright photos, we can partner you with our professional photographer or direct you to a national stock warehouse of photos.
We are sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to stick tight to the following payment schedule.
All clients must pay a $249 set up fee for each new domain hosted by OpusDeroum.us. Authorization to work before any work is to be completed. Websites that are under $2000 must be paid in full before work is to be completed. Websites that are $2000 and over must pay 50% work retainer and the set up fee before work is started. The remaining 50% must be paid before website launch date.
Our rates are simple. We bill at $400 per hour regardless the task commissioned. We track and bill at quarter hours — fifteen minutes is .25 hours. We are also very fair. If you submit a page to be updated and you do not have a consulting contract, we will track the actual amount time for work performed. So if it only takes us five minutes to update a new page on your site, we will wait and bill you when we have fifteen billable minutes.
If you are hiring OpusDeorum.us to perform administrative or updates to your existing website, you agree to pay a $100 or 50% retainer to start work, whichever is greater. Depending on the estimated scope of work, if the work amount is under $1000, client agrees to pay 50% at the time of hire. Client agrees to pay remainder of proposed quote within 7 days of completion of work. You also agree that you have an administrative login and password to a WordPress Website that is NOT hosted by WordPress.com.
Each client is signing a 20-year price renewal guarantee that the price will not increase for the specified time period. Website rights and copyright belong to OpusDeorum.us. If the customer does not want to sign a 20-year contract the price to purchase the copyright and host elsewhere is the renewal fee x months remaining of contract.
OpusDeorum.us uses the same model of the wireless industry and offers discounted, more affordable investments to clients with the promise of future renewal business. If a client does not want to sign a contract the website price to include copyrights is renewal x 20 years. Customers may prepay the 20 year contract, and have no future billings.
